  1. Acceptance

Please read these Terms and Conditions (“Terms”) carefully. Embassy Asset Management LP (“Embassy,” “we,” “us” or “our”) operates this website (the “Site”). By visiting, registering for, logging into or otherwise using the Site in any way, you agree to be bound by these Terms and by the disclosures published elsewhere on the Site. If you do not agree to these Terms, do not access the Site or any page of it.

We may change these Terms at any time by posting a revised version on this page. Your continued use of the Site after a revised version is posted constitutes your acceptance of it. You are bound by the version in effect at the time of your use.

  1. Who we are

Embassy Asset Management LP is a Delaware limited partnership with its principal place of business in Short Hills, New Jersey, and is an investment adviser registered with the U.S. Securities and Exchange Commission under the Investment Advisers Act of 1940. Registration does not imply a certain level of skill or training. The Embassy mutual funds described on the Site (each, a “Fund”) are distributed by IMST Distributors, LLC, which is not affiliated with Embassy.

  1. No offer; United States only

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or investment product, or a recommendation to engage in or refrain from any transaction. The Site is published in the United States and the information on it is intended only for residents of the United States. The Funds are not offered for sale in any jurisdiction other than the United States and its territories.

The Site is not directed to any person in any jurisdiction where, by reason of that person’s nationality, residence or otherwise, the publication or availability of the Site would be contrary to law or regulation. Persons in respect of whom such a prohibition applies must not access the Site. Persons who access the Site from outside the United States do so on their own initiative and are responsible for compliance with applicable local law. Not all investments or services described on the Site are available in all states.

  1. Not advice; no relationship created

The Site is for educational and informational purposes only. Nothing on the Site is investment, legal, tax or accounting advice, and nothing on the Site takes account of the objectives, financial situation or needs of any particular person. Use of the Site does not create any advisory, fiduciary or other relationship between you and Embassy. Different investments involve different degrees of risk and no assurance can be given that any investment is suitable for any particular investor.   1. The prospectus governs

Information on the Site about any Fund is qualified in its entirety by that Fund’s current statutory prospectus, summary prospectus and statement of additional information. Shares of the Funds are offered only by prospectus. In the event of any inconsistency between the Site and a Fund’s prospectus, the prospectus governs. Investors should carefully consider a Fund’s investment objectives, risks, charges and expenses before investing; the prospectus contains this and other important information and should be read carefully before investing.   1. Performance information


Past performance does not guarantee future results. The investment return and principal value of an investment will fluctuate so that an investor’s shares, when redeemed, may be worth more or less than their original cost. Current performance may be lower or higher than performance quoted on the Site. Performance shown on the Site is net of the relevant Fund’s fees and expenses, reflects fee waivers and expense reimbursements in effect during the periods shown without which returns would have been lower, and does not reflect taxes payable by a shareholder. Certain performance information on the Site, including information generated by interactive charts for periods you select, is not calculated on a standardized basis; standardized average annual total returns as of the most recent calendar quarter end are shown on each Fund’s Statistics page and govern.

Investment products offered on or described through the Site are not deposits or obligations of, and are not guaranteed or endorsed by, any bank. They are not insured by the Federal Deposit Insurance Corporation, the Federal Reserve Board or any other agency, and they are subject to investment risk, including the possible loss of principal.

  1. Intellectual property and limited license

The Site, including its software and files, and all text, graphics, images, audio, video, analyses, studies, reports, data and downloads on it (together, the “Content”), is the property of Embassy or is licensed to Embassy, and is protected by United States and international copyright, database, trade secret and trademark law. Embassy grants you a personal, revocable, non-exclusive, non-transferable license to use the Site conditioned on your compliance with these Terms. You may access, print and download limited portions of publicly available Content on an occasional basis for personal, scholarly, research or other non-commercial use, provided that you retain all copyright and proprietary notices. All other rights are reserved.

All trademarks, service marks, logos and trade dress appearing on the Site are the property of Embassy or of their respective owners. Nothing on the Site grants any license or right to use any of them.

  1. Prohibited uses

You agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. Without limitation, you agree not to: disrupt, impair, overload or interfere with the operation, integrity or security of the Site, or circumvent any security or access control measure; access any password-protected or otherwise restricted area of the Site without authorization; collect information about other users of the Site; use any robot, spider, scraper or other automated means to access the Site or to systematically extract Content or data from it, including for the purpose of populating a database or training a model; frame, mirror or deep-link the Site or any Content; or sell, distribute, publish, broadcast, retransmit or commercially exploit any Content without our express written consent.

  1. Linked websites

The Site may link to websites operated by third parties. Embassy does not control those websites, does not endorse, sponsor or promote any product or service offered on them, has not necessarily reviewed their content, and assumes no responsibility for their content, accuracy, quality or privacy practices. Embassy may terminate any link at any time.

  1. Information you submit

Do not submit confidential or proprietary information through the Site. Except for personal information, which is handled in accordance with our Privacy Policy, any information or material you submit through the Site is not confidential, and you grant Embassy an unrestricted, irrevocable, royalty-free license to use, reproduce, modify, transmit and distribute it. Embassy is free to use any ideas, concepts, know-how or techniques you submit for any purpose.

  1. Electronic communications

When you use the Site or send us an email, you are communicating with us electronically and you consent to receive communications from us electronically. Agreements, notices, disclosures and other communications we provide to you electronically satisfy any legal requirement that they be in writing, unless applicable law requires otherwise. Email is not a secure means of communication and should not be used to send account instructions, transaction requests or sensitive personal information.

Our collection and use of personal information through the Site, including our use of cookies and of a visitor identification service, is described in our Privacy Policy.

  1. Disclaimer of warranties

The Site and the Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Embassy and its affiliates, subsidiaries, partners, directors, officers, employees, agents, licensors and third-party information providers and vendors disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and all warranties as to the security, currency, correctness, quality, accuracy, completeness, reliability, performance, timeliness or continued availability of the Site or the Content. Embassy does not warrant that the Site will be uninterrupted or error free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. Embassy disclaims all warranties with respect to any delay or error in the transmission or delivery of any material, product or service available through the Site.

Some states do not allow the exclusion of certain warranties, so some of the foregoing may not apply to you.

  1. Limitation of liability

To the fullest extent permitted by applicable law, neither Embassy nor its affiliates, subsidiaries, partners, directors, officers, employees, agents, licensors, service providers or third-party information providers and vendors will be liable, whether in contract, tort, strict liability or otherwise, for any direct, indirect, incidental, special, consequential, punitive or exemplary damages, including damages for loss of profits, revenue, income, goodwill, use or data, or damages caused by theft, unauthorized access, systems failure or communications line failure, or the cost of procuring substitute goods or services, arising out of or in connection with access to, use of, or inability to use the Site or the Content, or reliance on the Content, even if Embassy has been advised of the possibility of such damages. Any material downloaded or otherwise obtained through the Site is obtained at your own risk, and you are solely responsible for any damage to your computer system or loss of data resulting from it.

Federal and state securities laws impose liabilities in certain circumstances on persons who act in good faith, and nothing in these Terms affects any liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the foregoing may not apply to you.

  1. Indemnification

You agree to defend, indemnify and hold harmless Embassy, its affiliates and each of their respective partners, officers, directors, employees, agents, suppliers and licensors from and against all claims, damages, costs and expenses, including reasonable attorneys’ fees, arising out of or related to your improper access to or use of the Site or any content on or linked from the Site, or your breach of these Terms. Embassy reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Embassy in asserting any available defenses.

  1. Governing law and venue

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

You and Embassy agree that any action, suit or proceeding arising out of or relating to these Terms or to the Site shall be brought exclusively in the state or federal courts located in Essex County, New Jersey. You irrevocably submit to the personal jurisdiction of those courts and waive any objection to venue in them and any claim that they are an inconvenient forum. Nothing in this section limits any right you may have under applicable law that cannot be waived.

No provision of these Terms is intended to, and no provision shall be construed to, waive, limit or disclaim any right or remedy that may not be waived, limited or disclaimed under the law of the State of New Jersey. Any provision that is prohibited or unenforceable under New Jersey law as applied to a New Jersey resident shall, as to that person, be ineffective to the extent of the prohibition or unenforceability without invalidating the remaining provisions.

  1. Fraud and impersonation warning

Embassy does not solicit investments through social media, messaging applications, unsolicited telephone calls or unsolicited email, and does not accept subscriptions except through the Funds’ transfer agent or an authorized financial intermediary. If you are contacted by a person claiming to represent Embassy and you are unsure whether the contact is genuine, do not send money or personal information.   1. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and the unenforceable provision will be replaced by an enforceable provision that most closely reflects its intent. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them without restriction. These Terms, together with the Privacy Policy and the disclosures published on the Site, constitute the entire agreement between you and Embassy regarding the Site and supersede any prior understanding. Nothing in these Terms creates any partnership, joint venture or agency between you and Embassy, and nothing in them confers any right or benefit on any third party.
